B2B Webshop General Terms

Contractual terms and conditions within the framework of purchase contracts concluded via the WALA B2B Webshop
between
WALA Heilmittel GmbH, Dorfstr. 1 73087 Bad Boll/Eckwälden, Tel. +49 7164 930-0, registered in the Commercial Register of the Ulm District Court under HRB 530784, represented by the Management: Prof. Dr. Florian Stintzing (Vors.), Carola Seitz (stellv. Vors.), Dr. Markus Moßhammer. VAT identification no.: DE 811192546 - hereinafter "WALA" -
and
the customers referred to in §1 of the agreement - hereinafter referred to as "customers”
be closed.
1. Scope of application, definitions
(1) The following General Terms and Conditions in the version valid at the time of the order shall apply to the business relationship for purchases via the WALA B2B Webshop between WALA and the customer. Deviating general terms and conditions of the customer shall not be recognised unless WALA expressly agrees to their validity in writing. In addition, the General Terms and Conditions of Delivery and Payment (GTCP) of WALA Heilmittel GmbH shall apply in the version valid at the time of the order. These B2B Webshop GTC shall take precedence over the GTC in the event of deviations.
(2) Entrepreneur is any natural or legal person or entity with legal capacity who, when concluding the contract, acts within his/her commercial or independent professional activity. Consumer is a natural person for whom the purpose of the ordered deliveries and services cannot be predominantly attributed to his commercial or self-employed professional activity. The customer places orders in the B2B Webshop exclusively as an entrepreneur who purchases Dr. Hauschka products or WALA Medicines for his/her commercial business.
2. Conclusion of contract
(1) The customer can select from WALA´s range of Dr. Hauschka Skin Care products or/and WALA Medicines and collect them in a so-called shopping basket by pressing the "add to shopping card" button. By clicking on the button "submit order" he/she makes a binding request to purchase the goods in the shopping basket. Before sending the order, the data can be changed and viewed at any time. Above, in the immediate area of the "submit order" button, the customer is informed that by pressing the button the customer accepts these WALA B2B-Webshop General Terms and Conditions as well as the WALA General Delivery and Payment Conditions (GDPC) and includes them in his/her offer.
(2) WALA will then send the customer an automatic confirmation of receipt by e-mail in which the customer's order is listed again and which can be printed out using the "Print" function. The automatic confirmation of receipt merely documents that the order has been received by WALA and does not constitute acceptance of the order. The contract is not concluded until WALA issues a declaration of acceptance, which is sent in a separate e-mail (order confirmation). In this e-mail or in a separate e-mail, but no later than upon delivery of the goods, the text of the contract (consisting of the order, GTC and order confirmation) shall be sent to the customer by us on a durable data medium (e-mail or paper printout) (contract confirmation). The text of the contract will be stored in compliance with data protection laws.
(3) The contract shall be concluded in German or English.
3. Customer account
(1) WALA shall only deliver to customers who have already been registered with WALA as business customers and have been assigned a customer number in WALA's enterprise resource planning system (ERP system). Upon request and transmission of a business e-mail address to WALA, customers receive an e-mail with a link. Customers can use this link to register with a password of their own choice in order to log in to the WALA B2B Webshop in future using these login details (e-mail address and password).
(2) By clicking on the "to your profile" button, the customer is taken to his B2B account. There, the customer's master data can be viewed under "Account", but cannot be changed. If you wish to make any changes to your account data, please contact WALA Customer Service.
(3) In the B2B Account, the Customer can also view the orders placed, store order lists and place quick orders. For quick orders, the Customer has the option to upload its own documents in various file formats or to order by entering product numbers.
4. Availability of goods
(1) If, at the time of the customer's order, no items of the selected product are available despite the availability is indicated in the B2B Webshop, WALA will inform the customer of this immediately in the order confirmation. If the product is permanently unavailable, WALA will refrain from issuing a declaration of acceptance. In this case, a contract is not concluded.
(2) If the product specified by the customer in the order is only temporarily unavailable, WALA will also inform the customer of this immediately in the order confirmation.
5. Prices
All prices stated in the WALA B2B Webshop are net prices, i.e. exclusive of statutory value added tax.
6. Payment modalities
(1) The Customer shall make payment in accordance with the payment method stored in WALA's ERP system and selected by the Customer. If desired, the stored modality can be adapted. Please contact our WALA customer service for this purpose.
(2) The customer's obligation to pay interest on arrears shall not preclude WALA from asserting further claims for damages caused by default.

8. Final provisions
The contract shall remain binding in its remaining parts even if individual points are legally invalid. The invalid points shall be replaced by the statutory provisions, if any. Insofar as this would represent an unreasonable hardship for one of the contracting parties, however, the contract as a whole shall become ineffective.
